JDassociates Ltd. Terms of Use

These Terms of Use (“Terms”) constitute a legally binding agreement between JDassociates Ltd. (“we”, “us”, or “our”) and you (“you” or “user”). By accessing or using our website, services, or any other online resources provided by JDassociates Ltd., you agree to be bound by these Terms. If you do not agree to these Terms, you must discontinue use of our services immediately.

1. ACCEPTANCE OF TERMS

JDassociates Ltd. provides a variety of online resources, including classified ads, forums, and email services (“Service”), subject to these Terms. By using the Service in any capacity, you agree to comply with these Terms, including any additional guidelines that may apply to specific services. Should you object to any provision of these Terms or subsequent modifications, your only recourse is to discontinue use of the Service immediately.

2. MODIFICATIONS TO THIS AGREEMENT

We reserve the right, at our sole discretion, to modify or update these Terms at any time without prior notice. Changes take effect immediately upon being posted. It is your responsibility to review these Terms periodically to stay informed about any updates.

3. ELIGIBILITY FOR USE

Certain parts of the Service may be restricted to professional users, including buyers, sellers, and resellers. JDassociates Ltd. reserves the right to limit access to these parts of the Service at its discretion, without any obligation to verify users’ qualifications. You acknowledge that access does not create any enforceable right against JDassociates Ltd. to ensure user compliance.

4. USER CONTENT

All content, including advertisements, messages, images, and other materials (“Content”) posted through the Service, is the sole responsibility of the individual from whom such Content originates. By posting Content, you warrant that you have all necessary rights to grant JDassociates Ltd. a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license to use, copy, distribute, publicly display, and create derivative works from such Content. JDassociates Ltd. reserves the right, at its sole discretion, to remove or refuse to display any Content that violates these Terms or applicable laws.

5. THIRD-PARTY CONTENT, SITES, AND SERVICES

Our Service may link to or provide access to third-party content, websites, and services. JDassociates Ltd. makes no representations or warranties regarding the accuracy, legality, or quality of these third-party offerings. Your interactions with third parties, including transactions, are solely between you and the third party. JDassociates Ltd. shall not be liable for any loss or damage incurred through such interactions.

6. COPYRIGHT INFRINGEMENT NOTICE PROCEDURE

If you believe that your intellectual property rights have been violated, please submit a notice with the following information to our designated agent at [email protected]:

• Identification of the infringing material.

• A statement of good faith belief that the use is unauthorized.

• Your contact details.

• A declaration that the information in your notice is accurate and that you have the authority to act on behalf of the copyright owner.

7. PRIVACY AND DISCLOSURE

We may disclose your information in accordance with our Privacy Policy and applicable Canadian privacy laws. You agree that JDassociates Ltd. may access, preserve, and disclose your information if required by law or if we believe it is necessary to enforce these Terms or protect the rights, property, or safety of JDassociates Ltd. or others.

8. USER CONDUCT

You agree not to post, email, or otherwise make available any Content that:

• Violates any applicable law.

• Is defamatory, abusive, harassing, or invasive of privacy.

• Is discriminatory based on race, religion, gender, age, or disability.

• Infringes intellectual property rights.

• Contains software viruses or other harmful code.

• Is fraudulent, misleading, or intended for unlawful purposes.

JDassociates Ltd. reserves the right to remove any Content that violates these Terms or applicable laws.

9. POSTING AGENTS

Third-party posting agents are prohibited from accessing the Service to post Content on behalf of others without express permission from JDassociates Ltd. Unauthorized use of posting agents will result in immediate termination of access.

10. NO SPAM POLICY

You agree not to send unsolicited commercial emails to JDassociates Ltd. users. Violation of this provision may result in legal action under applicable Canadian anti-spam laws, including the Canada Anti-Spam Legislation (CASL).

11. PAID POSTINGS

Certain parts of the Service may require payment for posting Content. All fees are non-refundable, and users remain responsible for compliance with these Terms.

12. LIMITATIONS ON SERVICE

JDassociates Ltd. may impose limits on the use of the Service, including the maximum number of postings or the maximum size of data stored. We reserve the right to modify or discontinue the Service at any time without liability.

13. LICENSE TO ACCESS THE SERVICE

JDassociates Ltd. grants you a limited, revocable license to access the Service for personal use. You may not use automated tools, data mining, or other techniques to extract data from the Service unless expressly permitted. Unauthorized use will result in immediate termination of access.

14. TERMINATION OF SERVICE

JDassociates Ltd. reserves the right to terminate your access to the Service without notice for any violation of these Terms. Upon termination, sections 2-7 and 13-20 of these Terms will survive.

15. PROPRIETARY RIGHTS

The Service and its Content are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from the Content without express written permission from JDassociates Ltd. Unauthorized use of our trademarks and other proprietary materials is strictly prohibited.

16. DISCLAIMER OF WARRANTIES

The Service is provided “as-is” without warranties of any kind. JDassociates Ltd. disclaims all express and implied warranties, including those of merchantability, fitness for a particular purpose, and non-infringement.

17. LIMITATION OF LIABILITY

To the maximum extent permitted by law, JDassociates Ltd. shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising from your use of the Service.

18. INDEMNITY

You agree to indemnify and hold JDassociates Ltd. and its affiliates harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any rights.

19. GENERAL INFORMATION

These Terms constitute the entire agreement between you and JDassociates Ltd. and supersede any prior agreements. If any provision is found invalid by a court, the remaining provisions remain enforceable. Any claim or cause of action must be filed within one (1) year of the event giving rise to the claim.

20. VIOLATIONS AND LIQUIDATED DAMAGES

If you breach these Terms, JDassociates Ltd. reserves the right to seek liquidated damages, including specific amounts for unauthorized activities such as spamming, unauthorized posting, or content aggregation.

22. TERMS OF USE FOR PROFESSIONALS

Use of the Service by professionals is subject to additional terms specific to the services you provide. JDassociates Ltd. is not liable for any interactions or agreements between professionals and clients.

23. BRAND AGREEMENT

By using the Service, you represent that you have the legal right to upload, share, and display content related to your brand. You grant JDassociates Ltd. a license to use your brand content on our platforms as outlined in this agreement.

24. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of Canada and the province of British Columbia. Any disputes arising from these Terms will be resolved exclusively in the courts of British Columbia.
